# What the deal is

[Business Insider](https://www.businessinsider.com/sam-altman-openai-offer-tokens-for-startup-equity-y-combinator-2026-5) confirmed the same structure: "participating startups will sign an uncapped Simple Agreement for Future Equity, or SAFE, agreement. That means OpenAI's eventual ownership stake would be determined in a future financing round, rather than being fixed upfront."

An uncapped SAFE is the most founder-friendly version of the instrument. There is no valuation cap, so OpenAI's eventual ownership floats up with whatever the next priced round prices the company at. A YC P26 founder who took the deal articulated the founder-side read directly.

That last paragraph is the second story. OpenAI is not just writing a credit cheque — it is publicly pricing $2M of its own tokens against $1M of Anthropic's and positioning the offer as a 2× value swap. The benchmark for "tokenmaxxing" is now an explicit comparison between two model providers.

# Why it's bigger than the prior credit programs

Cloud credits for YC startups are not new. [Google gave $350,000 of cloud credits](https://cloud.google.com/blog/topics/startups/supporting-y-combinator-ai-startups-with-google-cloud-technology) per company to YC AI startups in 2024.
